Terms and Conditions of Sale

1. Introduction

These Terms and Conditions of Sale (“Terms”) govern all sales of products by Algent Biotechnology Inc., a California corporation (“Algent Bio,” “we,” “us,” or “our”), to any purchaser (“Buyer” or “you”).

By placing an order with Algent Bio, Buyer agrees to be bound by these Terms. If Buyer does not agree to these Terms, Buyer must not place an order or purchase any products from Algent Bio.

These Terms apply exclusively to business-to-business transactions and do not apply to consumer purchases.

2. Orders

2.1 Order Acceptance

All orders are subject to acceptance by Algent Bio. Algent Bio reserves the right, at its sole discretion, to refuse, cancel, or limit any order for any reason, including but not limited to product availability, pricing errors, inaccuracies in product information, regulatory restrictions, or suspected fraud.

2.2 Pricing

All prices are quoted in U.S. Dollars unless otherwise stated and are exclusive of taxes, duties, customs fees, shipping, and handling charges, which shall be borne by Buyer unless expressly agreed otherwise in writing. Prices are subject to change without prior notice.

2.3 Payment Terms

Payment for all products must be made in full prior to shipment, unless expressly agreed otherwise in writing by Algent Bio.

Buyer shall not withhold, offset, or deduct any amounts from payment for any reason.

3. Shipping and Delivery

3.1 Shipping

Algent Bio will use commercially reasonable efforts to ship products in accordance with the estimated delivery schedule; however, delivery dates are estimates only and are not guaranteed. Algent Bio shall not be liable for delays caused by carriers, customs clearance, force majeure events, or other circumstances beyond its reasonable control.

3.2 Title and Risk of Loss

Title to and risk of loss of the products shall pass to Buyer upon handover of the products to the carrier at Algent Bio’s shipping facility, unless otherwise agreed in writing.

4. Inspection, Claims, and Returns

4.1 Inspection and Claims

Buyer must inspect products promptly upon receipt.

  • Claims for shortages, incorrect shipment, or visible damage must be reported within five (5) business days after receipt.

  • Claims relating to product performance must be submitted within thirty (30) days after receipt and must be accompanied by reasonable supporting documentation.

Failure to notify Algent Bio within the applicable period constitutes acceptance of the products.

4.2 Returns and Restocking Fees

No products may be returned without prior written authorization from Algent Bio. Any return approved by Algent Bio is subject to the following conditions:

  1. Eligibility

    Products may only be returned if they are defective or damaged upon receipt, or if Algent Bio has expressly approved the return in writing. Products that have been opened, used, modified, or improperly stored are not eligible for return.

  2. Restocking Fee

    For any approved return not caused by Algent Bio’s error, Algent Bio reserves the right to charge a restocking fee of up to twenty percent (20%) of the product purchase price.

    Shipping, handling, customs, and insurance charges are non-refundable.

    • Products requiring special shipping or storage conditions (including, without limitation, products shipped on dry ice or under temperature-controlled conditions);

    • Custom, made-to-order, or modified products;

    • Products with limited shelf life.

      Non-Returnable Products

      The following products are non-returnable:

       

  4. Condition of Returned Products

    Approved returns must be shipped back in original packaging and handled in accordance with all applicable product instructions. Algent Bio reserves the right to reject any return that does not meet these requirements.

 

5. Product Use and Compliance

5.1 Research Use Only

Unless explicitly stated otherwise, all Algent Bio products are sold for research use only (RUO) and are not intended for diagnostic, therapeutic, clinical, or veterinary use in humans or animals.

Buyer is solely responsible for ensuring that products are used in compliance with all applicable laws, regulations, and industry standards.

5.2 Product Information

Algent Bio endeavors to provide accurate product information; however, Algent Bio does not warrant the accuracy, completeness, or reliability of any technical data, specifications, protocols, or other information provided.

6. Limited Warranty and Disclaimer

6.1 Limited Warranty

Algent Bio warrants that products will materially conform to the specifications stated in the applicable product datasheet at the time of shipment.

Algent Bio does not warrant that the products will produce any specific experimental result or be suitable for any particular research application.

6.2 Disclaimer

Except as expressly stated herein, Algent Bio disclaims all other warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.3 Limitation of Liability

To the maximum extent permitted by law, Algent Bio shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or loss of research results.

Algent Bio’s total liability for any claim arising out of or relating to the products shall not exceed the purchase price paid for the specific product giving rise to the claim, which shall constitute Buyer’s exclusive remedy.

7. Intellectual Property

All intellectual property rights relating to Algent Bio products, documentation, and materials are and shall remain the exclusive property of Algent Bio or its licensors. No license or ownership rights are granted except as expressly set forth in writing by Algent Bio.

8. Force Majeure

Algent Bio shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, war, governmental actions, transportation delays, or supply chain disruptions.

9. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the sale of products shall be brought exclusively in the state or federal courts located in California, and Buyer irrevocably submits to the jurisdiction of such courts.

10. Entire Agreement

These Terms, together with any applicable Proforma Invoice and Order Confirmation issued by Algent Bio, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements, communications, or representations.

Any additional or conflicting terms proposed by Buyer shall not apply unless expressly accepted in writing by Algent Bio.

11. Modifications

Algent Bio reserves the right to modify these Terms at any time. Updated Terms will become effective upon posting on Algent Bio’s website. Continued purchase or use of products constitutes acceptance of the revised Terms.
